1. Agreement and operator
These Terms of Service (“Terms”) are a binding agreement between Amvention Private Limited (“Amvention”, “Dukanam”, “we”, “us”, or “our”) and the person or organization that accesses or uses Dukanam (“Customer”, “you”, or “your”). Amvention owns and operates Dukanam. Its business address is 302, 306, Sree Vishnu Abode, Megha Hills, Swamy Ayyappa Society, Madhapur, Hyderabad, Telangana, India 500081.
These Terms govern dukanam.com, the Dukanam web application, the versioned API, related support, and the billing, bookkeeping, inventory, payments, GST-preparation, compliance-guidance, and reporting features we provide (together, the “Service”). Our Privacy Policy explains how personal data is handled and forms part of the service relationship.
By creating an account, accepting an invitation, purchasing a plan, accessing the API, or using the Service, you agree to these Terms. If you use Dukanam for an organization, you confirm that you are authorized to bind it. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old, legally capable of entering a contract, and permitted to conduct the relevant business activity. The Service is designed for businesses and professionals, not for a child’s personal use. You may not use Dukanam if law prohibits you from receiving the Service.
3. Accounts, workspaces, and authorized users
You must provide current and accurate information, keep credentials confidential, and promptly update your account if details change. You are responsible for activity under your account except to the extent caused by Dukanam’s breach of these Terms. Tell us promptly if you suspect unauthorized access.
The workspace owner controls the workspace, plan, invitations, and assigned roles. Owners and administrators must grant only appropriate access, review team membership, remove access when it is no longer needed, and maintain internal checks for invoices, stock, cash, banking, tax, and accounting entries. A team member’s actions may bind the Customer if the workspace gave that member access.
4. The Service and plan limits
Dukanam provides the features shown in the application and on the applicable pricing or checkout page. Features, invoice or item limits, users, trial length, and support may differ by plan. Preview, beta, or staged features may be incomplete and may change or be withdrawn.
We may improve, replace, or discontinue features. If a change materially reduces the core functionality of an active paid plan, we will use reasonable efforts to give advance notice and, where appropriate, offer a transition, cancellation, or remedy required by law. We do not promise that every feature will work offline or with every browser, printer, scanner, bank file, tax format, or third-party service.
5. Customer Data
“Customer Data” means information, records, files, images, and content submitted to a workspace by or for the Customer. As between you and Amvention, you retain your rights in Customer Data. You give us a non-exclusive, worldwide permission to host, copy, transmit, display, back up, and otherwise process Customer Data only as reasonably necessary to provide, secure, support, and improve the Service, comply with law, and enforce these Terms.
You are responsible for the lawfulness, accuracy, quality, and integrity of Customer Data. You confirm that you have the necessary rights and notices to submit and use it, including personal data about customers, suppliers, employees, and invitees. Do not submit unlawful content, payment-card credentials, authentication secrets, or information that is not reasonably needed for the Service.
We will handle personal data as described in the Privacy Policy. We will not claim ownership of Customer Data or use a business’s customer or supplier list for independent advertising.
6. Exports, records, and backups
Authorized roles can export supported reports, and eligible owners or administrators can download a business-data portability archive. An export is not a restorable platform backup and may not reproduce every computed view, provider record, secret, or system log. You should download important records regularly and keep any independent copies required for tax, accounting, operational continuity, or law.
We use operational backups and recovery measures, but Dukanam is not an off-site managed-backup or archival service unless a separate written agreement expressly says so. You remain responsible for checking documents and retaining official records for the periods applicable to your business.
7. Free plans, trials, paid subscriptions, and renewal
A free plan may have ongoing feature and usage limits. For a paid plan, the checkout shows the plan, billing interval, trial (if any), price, applicable taxes, and renewal timing before you authorize payment. Paid subscriptions renew monthly or yearly through the disclosed payment method until cancelled, the provider’s permitted schedule ends, or we end the subscription.
When a trial requires payment authorization, the trial begins only after that authorization succeeds. Unless the checkout says otherwise, the paid billing cycle starts at the end of the trial. Cancel before the displayed renewal or trial-end time to avoid the next charge. You authorize us and Razorpay to initiate the recurring charges you approved and to exchange the transaction information needed to administer them.
We may change prices or plan packaging for a future billing period. We will provide the notice and obtain any fresh authorization required by law or the payment mandate. A price change does not retroactively change a completed billing period.
8. Cancellation, downgrades, and refunds
You may cancel an active paid subscription from Plan & billing. A standard cancellation takes effect at the end of the current paid period, and paid features remain available until the displayed end date. Choosing the free plan may end paid features immediately and cancel future recurring charges; the application presents a confirmation before that change.
Cancellation stops future renewal but does not automatically refund an amount already charged. Except where the checkout, a written offer, or applicable law provides otherwise, fees for a billing period that has started are non-refundable. Contact us promptly about an incorrect, duplicate, unauthorized, or failed charge. We will investigate and provide any correction or refund required by law. Nothing in these Terms limits a mandatory consumer remedy for a deficient or misdescribed service.
A downgrade can restrict creation, team access, or advanced features. It does not transfer responsibility for preserving records. Export Customer Data before access ends or limits take effect.
9. Taxes and payment providers
Prices are stated in Indian rupees unless shown otherwise. Applicable taxes may be added or included as disclosed at checkout and on the subscription invoice. You are responsible for accurate billing and tax information. Razorpay and participating payment networks process the payment method and may apply their own terms, privacy notice, authentication, failure, chargeback, or mandate rules. Dukanam does not operate a bank, card network, UPI system, or payment gateway.
10. Acceptable use
You must use the Service only for lawful business purposes. You must not, and must not help another person to:
- access another person’s account or business workspace without authorization, impersonate someone, or misrepresent authority;
- use Dukanam for fraud, tax evasion, money laundering, prohibited goods or services, harassment, infringement, or any unlawful activity;
- upload malware, harmful code, unlawful content, or data you do not have the right to process;
- probe, scan, bypass, disable, or interfere with authentication, authorization, rate limits, tenant isolation, security, or service availability;
- reverse engineer, decompile, scrape, copy, resell, sublicense, or create a competing service from protected parts of Dukanam except to the limited extent law does not allow that restriction;
- use automated requests outside the documented API or at a volume that degrades the Service; or
- remove proprietary notices or falsely claim that an output, integration, or government submission was verified by Dukanam.
11. Third-party services and user-directed actions
Dukanam may interoperate with Razorpay, email applications, WhatsApp, browsers, cloud infrastructure, printers, scanners, or other third-party services. Their terms and availability apply to their services. Unless expressly stated, we do not control or endorse them and are not responsible for their independent acts.
When Dukanam prepares a reminder, invoice message, UPI QR, file, or link for another service, you must review the recipient, amount, content, and destination before sending or acting. Dukanam does not independently transmit a customer reminder merely because it helped compose it.
12. Tax, accounting, payment, and compliance boundary
Dukanam is software, not a chartered accountant, tax practitioner, lawyer, auditor, bank, insurer, government authority, or filing portal. It can calculate from the information and settings you provide, prepare records, and offer general compliance guidance. It does not currently promise direct GST-return filing, IRP submission, e-way-bill submission, payment settlement, or acceptance by an authority.
You are responsible for source data, tax treatment, registrations, invoice requirements, filing, deadlines, professional review, and decisions made from outputs. Verify important reports and submissions against official sources or with a qualified adviser.
13. Dukanam intellectual property and feedback
Amvention and its licensors retain all rights in the Service, software, design, branding, documentation, and materials other than Customer Data. Subject to these Terms and the applicable plan, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business operations.
If you submit a private improvement request, complaint, or suggestion from your profile or through the authenticated API, you allow us to use the ideas to support and improve Dukanam without restriction or payment. We will not publish that private feedback as a testimonial or identify you publicly as its source without separate permission.
When an eligible paid-plan user submits a testimonial through their signed-in profile or the authenticated API and provides publication consent, they confirm that they own or are authorized to provide the text and photo, that the submission is truthful and does not infringe another person’s rights, and that any identifiable person shown has agreed to the submission. You grant Amvention a non-exclusive, worldwide, royalty-free licence to host, reproduce, resize, adapt for layout, publish, and display the approved testimonial for Dukanam marketing. We may approve, reject, edit only for formatting, unpublish, or remove a testimonial at our discretion. You may request withdrawal using the contact details in the Privacy Policy.
An administrator may also prepare a testimonial draft from genuine feedback at a customer’s request, including for a customer on a free plan. Publishing this wording requires recorded permission for the exact text, owner and business attribution, optional public location, and any photo. Substantive edits return the story to unpublished review and require renewed permission. Drafts do not establish that the customer gave a verbatim quotation or achieved a measured result.
14. Suspension and termination
You may stop using Dukanam at any time. To request workspace or account closure, contact us after exporting needed records and settling any outstanding amount. Removing the application or ceasing use does not itself cancel a paid subscription.
We may limit or suspend access when reasonably necessary to address non-payment, a security risk, suspected unlawful or abusive activity, material breach, a provider or legal requirement, or harm to Dukanam or others. Where the issue can be cured, we will normally give notice and a reasonable opportunity to resolve it. We may terminate access immediately for serious illegality, fraud, deliberate security abuse, or where law requires.
On termination, your right to use the Service ends. Provisions that by their nature should continue—including payment obligations, ownership, confidentiality, disclaimers, liability limits, disputes, and lawful retention—survive. Customer Data is handled after closure as described in the Privacy Policy.
15. Availability and support
We use reasonable care to operate the Service, but do not guarantee uninterrupted or error-free availability. Maintenance, upgrades, internet failures, provider incidents, security work, force majeure, or other events may interrupt access. Unless a separate written service-level agreement applies, support is provided on a reasonable-efforts basis through the contact channels we publish.
16. Disclaimers and limitation of liability
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and results, but not any warranty or remedy that applicable law does not permit us to exclude.
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for lost profits, revenue, goodwill, or business opportunity, arising from these Terms or the Service. This exclusion does not apply where such liability cannot legally be limited.
To the maximum extent permitted by law, Amvention’s aggregate liability arising from the Service or these Terms will not exceed the fees paid by the Customer for Dukanam in the 12 months before the event giving rise to the claim. If no fee was paid, the cap is ₹1,000. These limits do not exclude liability for fraud, wilful misconduct, breach of confidentiality, infringement of the other party’s intellectual property, or any liability that law does not allow to be limited.
17. Responsibility for third-party claims
To the extent permitted by law, a business Customer will defend and reimburse Amvention against a third-party claim, penalty, or reasonable cost arising from the Customer’s unlawful Customer Data, violation of another person’s rights, unlawful use of the Service, or material breach of these Terms. This does not apply to the extent the claim was caused by Amvention’s own breach, negligence, or wilful misconduct. We will provide prompt notice and reasonable cooperation and will not settle a claim in a way that admits your fault without consent.
18. Changes and notices
We may update these Terms to reflect changes in the Service, providers, business model, security, or law. We will post the revised Terms with a new effective date. For a material change, we will provide reasonable advance notice through the Service, account email, or another appropriate channel. If law requires consent, we will request it. Otherwise, continued use after the effective date means the revised Terms apply.
You agree that account and service notices may be sent electronically to the email address in your account or displayed in the Service. Keep the address current. Legal notices to Amvention should be sent to the address and email below.
19. Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Before filing a claim, each party will make a good-faith effort for 30 days to resolve it by written notice describing the issue and requested remedy. Subject to any consumer forum or other jurisdiction that cannot lawfully be excluded, courts in Hyderabad, Telangana will have exclusive jurisdiction.
If part of these Terms is unenforceable, it will be limited to the minimum extent necessary and the rest will remain effective. A failure to enforce a term is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, restructuring, financing, or sale of the Service. These Terms, the Privacy Policy, the applicable checkout, and any signed order or separate agreement are the entire agreement for the Service; a signed agreement controls to the extent of a direct conflict.
